These Terms and Conditions ("Terms") govern your use of the website and services provided by Build A Better Website LLC ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.
1. Services
Build A Better Website LLC provides web design, web development, and related digital services to businesses and individuals. Specific deliverables, timelines, and payment terms for each engagement are outlined in a separate project agreement or statement of work ("SOW") provided to the client prior to commencement of work.
We reserve the right to refuse service to anyone for any reason at any time.
2. Intellectual Property
Upon receipt of full payment for a project, and unless otherwise specified in the project agreement, the client receives ownership of the final deliverables (design files, custom code, and website content) created specifically for that project.
We retain the right to use completed work in our portfolio, case studies, and marketing materials unless the client requests otherwise in writing prior to project commencement.
Third-party assets incorporated into projects (fonts, stock photos, plugins, frameworks, libraries) remain subject to their respective licenses. The client is responsible for ensuring continued licensing compliance after project delivery.
3. Payment Terms
Payment terms are defined in the individual project agreement. Generally:
- A deposit is required before work begins.
- Remaining balances are due upon project completion or as outlined in the SOW.
- Invoices not paid within 30 days of the due date may incur a late fee of 1.5% per month.
- Ownership of deliverables transfers only upon receipt of full payment.
All fees are non-refundable once work has commenced, except as required by applicable law or as expressly stated in the project agreement.
4. Client Responsibilities
The client agrees to:
- Provide accurate information, materials, and content required for the project in a timely manner.
- Review and provide feedback within agreed-upon timelines.
- Ensure that all materials provided (text, images, logos, etc.) are legally owned or licensed for use.
- Maintain any credentials or access details provided during or after the project.
Delays caused by the client may result in revised project timelines and additional fees.
5. Revisions and Scope Changes
Each project includes a defined number of revision rounds as specified in the project agreement. Requests beyond the agreed scope — including additional pages, features, or significant design changes — will be quoted separately and require written approval before work begins.
6. Disclaimer of Warranties
Our website and services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee that our website will be uninterrupted, error-free, or free of viruses or other harmful components.
7. Limitation of Liability
To the fullest extent permitted by law, Build A Better Website LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of our website or services, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ventura County, California.
9. Termination
Either party may terminate a project engagement with written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. Deposits are non-refundable upon termination by the client.
We reserve the right to terminate services immediately if the client engages in abusive, unlawful, or fraudulent behavior.

11. Changes to These Terms
